IMPORTANT: THESE TERMS INCLUDE BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS (SEE SECTION 20) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THESE TERMS CAREFULLY.

These Terms of Use (“Terms”) govern your access to and use of the Helping Fido directory, products, and services, including our websites, mobile applications, communications (emails, texts, phone calls), and all related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms, which form a legally binding contract with MPAD Holdings, LLC, a Delaware limited liability company doing business as Helping Fido (“Helping Fido,” “we,” “us,” or “our”).

1. DEFINITIONS

Parties. “You” and “your” refer to you as a user of the Service. “We,” “us,” and “our” refer to MPAD Holdings, LLC dba Helping Fido and its affiliates.

Content. “Content” means text, images, photos, audio, video, reviews, listings, and all other forms of data or communication. “Your Content” means Content you submit to the Service. “User Content” means Content that users submit to the Service. “Helping Fido Content” means Content we create and make available through the Service.

Accounts. “User Account” means any account you create to access the Service. “Business Account” means an account created to manage business listings on the Service.

2. ELIGIBILITY AND USE RESTRICTIONS

2.1 Age Requirements

General Users: You must be at least 13 years old (or 16 where local law requires) to use the Service as a general user (browsing, searching, reading reviews).

Directory Listings: You must be at least 18 years old to create, manage, or claim any business or directory listing on the Service. By creating or managing a directory listing, you represent and warrant that:

You are 18 years of age or older
You are an authorized representative of the business or organization
You have full authority to bind the business or organization to these Terms
All information you provide about the business is accurate and current

2.2 Right to Refuse Service

WE RESERVE THE ABSOLUTE RIGHT TO REFUSE SERVICE TO ANYONE FOR ANY REASON AT ANY TIME. We may immediately terminate or suspend your access to the Service, remove your content, or take any other action we deem necessary, with or without notice, for any reason including but not limited to:

Violation of these Terms
Conduct that we believe is harmful to other users, us, or third parties
Conduct that violates any applicable law

2.3 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must provide accurate, current, and complete information
You may not create multiple accounts or transfer accounts without our permission
You may not impersonate others or misrepresent your affiliation with any person or entity

3. CONTENT STANDARDS AND PROHIBITED CONTENT

3.1 Prohibited Content
You agree NOT to post, upload, transmit, or otherwise make available any Content that:

Is obscene, pornographic, sexually explicit, or contains nudity
Is defamatory, libelous, or fraudulent
Contains hate speech or discriminatory content
Harasses, threatens, or intimidates others
Violates any person’s privacy or publicity rights
Infringes any intellectual property or proprietary rights
Contains viruses, malware, or malicious code
Violates any applicable law or regulation
Promotes illegal activities or substances
Contains false, misleading, or deceptive information
Exploits or harms minors in any way
Constitutes spam or unauthorized advertising
Impersonates any person or entity

3.2 Content Moderation
We have the right, but not the obligation, to:

Monitor, screen, edit, or remove any Content at our sole discretion
Refuse to post or remove any Content for any or no reason
Suspend or terminate access to users who violate these Terms
Disclose Content to law enforcement if required by law or if we believe disclosure is necessary to protect rights, property, or safety

4. PAYMENTS AND REFUNDS

4.1 No Refund Policy
ALL SALES ARE FINAL. WE DO NOT ISSUE REFUNDS EXCEPT IN EXTRENUATING CIRCUMSTANCES

This includes but is not limited to:

Subscription fees
Advertising fees
Premium listing fees
Featured placement fees
Any other paid services or products

4.2 Payment Terms

All fees must be paid in advance unless otherwise agreed in writing
You are responsible for all applicable taxes
We may change our fees at any time with 30 days’ notice
Failure to pay fees may result in suspension or termination of services

5. YOUR CONTENT AND LICENSING

5.1 Your Rights
You retain ownership of Your Content. However, by posting Content to the Service, you grant us and our affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content in any media.

5.2 Your Responsibilities
You represent and warrant that:

You own or have all necessary rights to Your Content
Your Content complies with these Terms and all applicable laws
Your Content does not violate any third-party rights
Your Content is accurate and not misleading

6. INTELLECTUAL PROPERTY

6.1 Our Property
All Helping Fido Content, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of MPAD Holdings, LLC or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

6.2 Trademarks
“Helping Fido” and our logos are trademarks of MPAD Holdings, LLC. You may not use our trademarks without our prior written permission.

7. PROHIBITED USES

You agree NOT to:

Use the Service for any unlawful purpose
Violate any applicable laws or regulations
Scrape, data mine, or use automated means to access the Service
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any portion of the Service
Harass, abuse, or harm other users
Create multiple accounts or false identities
Use the Service to transmit spam or unsolicited communications
Reverse engineer any aspect of the Service
Remove or alter any proprietary notices

8. MEDICAL AND VETERINARY DISCLAIMER

THE SERVICE IS FOR INFORMATIONAL PURPOSES ONLY. The Service does not provide veterinary or medical advice. Always consult qualified veterinary professionals for your pet’s health needs. Never disregard professional veterinary advice based on information found on the Service.

9. THIRD-PARTY LINKS AND CONTENT

9.1 Third-Party Services
The Service may contain links to third-party websites, advertisements, or services. We are not responsible for third-party content or services.

9.2 Affiliate Disclosure
We may earn commissions from affiliate links or advertisements on the Service. These relationships do not affect our editorial content or recommendations.

10. PRIVACY

11. INDEMNIFICATION

Your use of the Service
Your Content
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable law

12. DISCLAIMERS

12.1 Service Provided “As Is”
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 No Guarantee of Accuracy
We do not guarantee the accuracy, completeness, or usefulness of any information on the Service. You rely on such information at your own risk.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MPAD HOLDINGS, LLC, HELPING FIDO, AND THEIR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the Service
Any unauthorized access to or use of our servers
Any interruption or cessation of the Service
Any bugs, viruses, or malicious code transmitted through the Service
Any errors or omissions in any Content
Any third-party content or conduct

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

14. TERMINATION

14.1 Termination by You
You may terminate your account at any time by contacting us. Termination does not entitle you to any refunds.

14.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

14.3 Effect of Termination
Upon termination:

Your right to use the Service will immediately cease
All licenses granted to you will terminate
We may delete your account and Content
Provisions of these Terms that should survive will remain in effect

15. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service with an updated effective date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. COMMUNICATIONS

By using the Service, you consent to receive communications from us electronically, including emails, texts, and push notifications. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement for written communication.

17. GEOGRAPHIC RESTRICTIONS

The Service is based in the United States. We make no claims that the Service is appropriate or available outside the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

18. WAIVER AND SEVERABILITY

No waiver of any term of these Terms shall be deemed a further or continuing waiver. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and MPAD Holdings, LLC regarding the Service and supersede all prior agreements and understandings.

20. DISPUTE RESOLUTION

20.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

20.2 Arbitration Agreement
PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration, not in court. The Federal Arbitration Act governs this agreement.

20.3 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY REPRESENTATIVE PROCEEDING.

20.4 Arbitration Process
Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be held in Delaware or at another mutually agreed location.
